Technology Contracts Attorney

The mission of the Legal Department is to provide the company with legal services that help the company achieve its business goals. The Legal Department does so by ensuring that its advice is strategic, practical, timely, and cost-effective.

The Technology Contracts Attorney will be primarily responsible for drafting, reviewing, and negotiating a wide variety of information technology agreements and other commercial contracts. The Technology Contracts Attorney also will advise and educate business partners about the various legal issues related to those substantive legal areas. In addition, the Technology Contracts Attorney will advise clients on data privacy and security issues, product safety issues, and intellectual property issues. The Technology Contracts Attorney will provide other legal services and advice as needed.

Essential Job Duties and Responsibilities:

60%:

Drafting, reviewing, and negotiating information technology agreements, including software licensing agreements, software as a service (SaaS) agreements, cloud agreements, e-commerce agreements, IT infrastructure agreements, outsourcing agreements, and similar managed services agreements, as well as related RFPs, master services agreements, and statements of work. Providing related advice to business managers (including advice on structuring agreements to obtain exemption from sales and use tax).

30%:

Reviewing, drafting, and negotiating a wide variety of other commercial agreements, including equipment leases, telecom services agreements, logistics agreements, office and warehouse leases, nondisclosure agreements, vendor agreements, marketing agreements, purchase agreements, and consulting agreements. Providing related advice to business managers.

10%:

Managing product safety issues, including consumer complaints, CPSC reports, and product recalls; providing related compliance advice to business managers.

Advising business managers on patent, trademark, and copyright matters, including developing appropriate responses to infringement claims, negotiating resolutions of such infringement claims, and obtaining indemnification by vendors where appropriate.

Providing legal services and advice on a variety of topics, including data privacy laws, PCI compliance, FTC regulations, corporate governance matters, and other areas as needed.

  • Ability to perform the essential job duties and responsibilities of the position as described above.
  • Ability to draft, review, and negotiate a wide variety of information technology agreements and general commercial agreements with attention to detail.
  • Ability to analyze complex legal issues and effectively advise on legal and business risks.
  • Excellent analytical and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Excellent judgment and sound decision-making ability.
  • Ability to interface professionally and effectively with all levels of personnel internally and externally, up to and including senior executives.

  • Ability to develop new areas of expertise and confidence to quickly learn and develop facility in key practice areas.
  • Must be proficient with Microsoft Office – Word, Excel, Power Point.

Education, Licensing, Certification, and Experience

  • Juris Doctorate from an accredited law school.
  • Admittance in good standing to the Illinois bar.
  • 5-10 years of relevant experience working at a law firm and as in-house counsel.
  • Significant broad-based experience drafting technology agreements and general commercial agreements is a must.
